RULES

1. SPONSOR:  Natural Awakenings Miami/FL Keys. ("Sponsor")7855 N.W. 12th Street, Suite #11 Miami, FL 33126,  together with participating advertisers (prize provider) will award certificates for services/merchandise and/or discounts on services and/or merchandise or similar to the winners.

2. ELIGIBILITY: "WIN with Us" (the "Giveaway") is open only to legal residents of the United States who are eighteen (18) years of age or older as of July 01, 2005. Employees, directors, officers and agents of Natural Awakenings Miami/FL Keys Editions, Natural Awakenings Corporation and their respective parents, sisters, subsidiaries and affiliates, and all immediate family members (spouse, parents, siblings and children) and/or persons living in the same households as such persons, are not eligible. This Giveaway is void where prohibited or restricted by law.

3. AGREEMENT TO OFFICIAL RULES: By participating in the Giveaway, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. All entrants, as a condition of entry, agree that they have not purchased any kind of Internet or cable service, or whatsoever, in order to participate in and/or enter the Giveaway.

4. HOW TO ENTER: Enter online by going to www.namiami.com, scrolling over the "Win with Us" header on the main body to the right, clicking on the "Win with Us! or click here" button, clicking on the "Giveaway Rules" where you will be taken to a description of the Giveaway and rules, and then clicking on the link that directs you to the Official Entry Form. Complete the Official Entry Form. Once you click on "Submit" you will receive one (1) Giveaway entry. Please note, by registering for the submit button, you are registering to become a Natural Awakenings Miami/FL Keys online newsletter subscriber (free) and that the registration information you submit for this Giveaway may be disclosed to third parties as required by law, such as on a winners list. There is a limit of one (1) entry per person, e-mail address or household per year. You must have a valid e-mail address to enter the Giveaway. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents will void all entries by that entrant. All entries and their content submitted become the property of the Sponsor and will not be acknowledged or returned.

5. GIVEAWAY PERIOD: The Giveaway begins on the 1st of every month at 9:00 a.m. Pacific Standard Time (PST) and ends on the 15th of each month at 12:00 p.m. PST ("Giveaway Period"). Entries received prior to or after the Giveaway Period will be disqualified. Subject to blackout periods or suspension at any time.

6. SELECTION OF WINNERS: On or about the 16th of every month, three (3) potential winners will be selected in a random drawing from among all eligible entries received. Odds or winning a prize depend on the number of eligible entries received. Decisions are final and binding.


7. NOTIFICATION OF POTENTIAL WINNERS: Potential winners will be notified by e-mail, U.S. mail and/or phone on or about the 18th of the participating month. A potential winner is not a winner until he/she has returned any required documnetation and eligibility has been verified. Disqualification and the forfeiture of a prize my result form any of the following: (a) failure of a potential winner to respond to a winner notification within five (3 business days from the date of mailing/transmission; (b) the return of any other notfication as undeliverable and (c) any other non-compliance with the Rules. If a potential winner is disqualified, an alternate entrant may be selcected in his/her place at random form among all remaining eligible entries, and the prize will be awared to a potential alternate winner.

8. PRIZES: Three (3) prize winners will each receive one (1) Certificate of award; approximate retail value ("ARV") determine by prize provider. Prize is not redeemable for cash or transferable. No substitution allowed except at Sponsor's sole discretion, a prize of equal or greater value may be substituted. Winners are solely responsible for any and all applicable fees and taxes associated with the prize receipt and use.

9. PUBLICITY: Winner's acceptance of a prize constitutes the grant to Sponsor of an unconditional right to use Winner's name, biographical information, address (city and state only), statements, photograph, voice and/or likeness for any publicity, advertising and promotional purposes in any media, including the Internet, in perpetuity, without additional compensation, unless prohibited by law.

10. RELEASE: Each entrant by entering this Giveaway agrees to release and hold harmless Sponsor, Natural Awakenings Miami/FL Keys & Natural Awakenings Corporation and their respective parent companies, subsidiaries, affiliates, licensees, officers, directors, employees, shareholders, agents or representatives ("Sponsor Affiliates") from any against any and all liability or any injuries, loss or damage of any kind arising from, directly or indirectly, or in connection with participation in this Giveaway including, the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any prize awarded, or from computer downloading Giveaway information.

11. LIMITATIONS: Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from accessing namiami.com or participating in or downloading any materials related to this Giveaway.

12. CONDITIONS: If the Giveaway becomes compromised, hampered, interrupted, not capable of running as planned, rendered impossible of performance in any way and prevented, including, without limitation, because of any infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, programming or technical failure, Acts of God, acts or regulations of any governmental or supranational authority, war, national emergency, accident, fire, riots, strikes, lock-outs, industrial disputes, actors of terrorism or other causes beyond the Sponsor's control that corrupts, threatens or adversely affects the administration, security, fairness, integrity or proper conduct of the Giveaway, Sponsor reserves the right, in its sole discretion, to cancel, suspend, extend or withdraw the Giveaway or any Giveaway offer and/or cancel any method of entry, without notice, and select the prize winners from all entries received for the Giveaway prior to the cancellation, suspension or withdrawal. Entrants agree not to knowingly damage or cause interruption to the Giveaway and/or prevent others from utilizing the Giveaway. Any attempt by any person to damage any web site or undermine the legitimate operation of the Giveaway violates criminal or civil laws. If such an attempt is made, Sponsor may disqualify any entrants making such attempt and Sponsor may seek damages to the fullest extent permitted by law. In the event of a dispute as to the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the e-mail account from which it was sent. The authorized account holder shall be the natural person to whom the applicable e-mail address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved, the entry will be deemed ineligible.

The prize is awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, and Sponsor and Sponsor/Advertiser Affiliates hereby expressly disclaims all such warranties (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Only product providers' claims or warranties will apply with regard to a prize, and each prizewinner shall look solely to the product and/or service providers for such warranties.

Sponsor and the Sponsor/Advertiser Affiliates are not responsible for typographical errors or other errors in the offer or administration of the Giveaway, including but not limited to errors in the Rules and selection and announcement of the winner.

13. GOVERNING LAW/DISPUTES: The Giveaway and Official Rules are governed, construed and interpreted under the laws of the state of Florida and any or all claims pursuant to these shall be brought in the courts of the state of Florida.
